Short answer: an LLC is common, but not automatic
A Georgian LLC is often the practical starting point for a privately owned operating business because it is a separate legal person and can support tailored ownership and management rules. A branch may suit a foreign company that wants direct parent responsibility. A JSC fits share-based or larger-capital structures. Individual entrepreneurship leaves the individual personally exposed. The right answer depends on contracts, licences, funding, tax residence, banking and exit plans.

LLC: what the standard form does not decide
A minimal charter may register the company, but it does not resolve a real investment relationship. Before filing, document ownership percentages, contributions, director appointment and removal, signature authority, matters requiring partner approval, transfer restrictions, deadlock, information rights, profit distributions and exit.
- Confirm whether one director may bind the company alone or signatures are joint.
- Match shareholder funding to equity, shareholder loans and foreign-exchange documentation.
- Decide how new shares, dilution, transfers and pre-emption will work.
- Align the Georgian charter with any Czech shareholders’ agreement and group approvals.
- Check whether the activity requires a licence, permit, professional qualification or sector-specific form.
JSC: capital and administration
The JSC should be selected for a commercial reason, not prestige. The Law on Entrepreneurs sets a GEL 100,000 minimum subscribed capital at registration and contribution rules for issued shares. Share registers, corporate bodies, investor rights and reporting can require more administration than an LLC.
Model the first financing round, later issues, shareholder register responsibility, governance committees, dividend policy and investor exits before registration. A project that does not need share-based financing may find an LLC simpler.

A practical selection test
Write a one-page operating model before choosing the form: who sells, who imports, who employs, who holds inventory, who invoices, where decisions are made, how cash enters and exits, and what happens if the partnership ends. Then compare the forms against liability, tax, compliance cost, bankability, investor expectations and exit.
