We can maintain contact, arrange and attend meetings, chase agreed actions, coordinate documents, track project developments and keep headquarters informed.

The mandate is practical and measurable. It can be narrow—follow up ten named accounts—or broader, such as supporting a market launch, distributor network or project pipeline. Pricing, contractual commitments and technical approvals stay with the Czech company unless a specific authority is agreed in writing.

This model fits when there are real Georgian accounts or projects to move forward, but not enough volume yet to justify a permanent employee or subsidiary. Typical situations include an active distributor search, quotations awaiting decisions, samples or technical documents to chase, repeated buyer meetings, a project pipeline or tenders that need regular monitoring.

It is intentionally different from a virtual office. The value is active commercial work: calls, meetings, reminders, coordination and reporting against named accounts and agreed objectives.

The scope can include contacting buyers, arranging meetings, attending with visiting Czech managers, following quotations, checking who is responsible for the next technical response, coordinating a distributor, maintaining contact with project stakeholders and organising local documents or logistics.

Each open item should have a status, next action, owner and deadline. That gives Czech headquarters visibility instead of relying on scattered emails and informal promises.

Commercial control

You keep pricing, contracts and technical authority under your control

Unless expressly agreed otherwise, the local representative does not bind the Czech company, change prices, promise delivery dates, accept liabilities or appoint sub-agents. The mandate should define authority, confidentiality, expenses, lead ownership, anti-bribery rules and what information may be shared with counterparties.

This is particularly important where a representative is speaking with public bodies, distributors or strategic customers on the company’s behalf.

Tbilisi can be the coordination base while the work follows the customer

Tbilisi concentrates many corporate headquarters, ministries, advisers and decision makers, but buyers and projects may be in Kutaisi, Batumi, Poti, Rustavi or other regions. Regional travel can therefore be planned around named accounts, facilities, ports, industrial sites or municipal projects rather than treated as a separate market.

For technical products, the representation mandate can also coordinate visits by Czech engineers or product specialists when a local discussion needs factory-level expertise.

When to incorporate

Move to your own Georgian company when the economics justify fixed infrastructure

A subsidiary becomes more compelling when local invoicing, employees, inventory, licences, a bank account, leasing, recurring service or a formal project vehicle are necessary. Until those needs are real, a defined representation mandate can keep the cost base flexible and let management learn from the market.

If the pipeline reaches that point, representation can transition into company setup, banking preparation, tax, accounting and local administration without losing the commercial history already built.
