Registration is one step in an operating launch
NAPR currently publishes a fee of GEL 200 for registration of an entrepreneur other than an individual entrepreneur within one working day, or GEL 400 on the filing day. Those service times do not include preparation, translation, bank onboarding, tax configuration, licences or remediation of incomplete documents.
Legacy Georgian entities may need a current status check
Businesses registered before 1 January 2022 had to bring their registration data into compliance with the Law on Entrepreneurs by 1 April 2026. NAPR now states that entities suspended from 1 April 2026 may restore their registration status by completing the compliance process by 1 April 2027. This does not change the normal filing route for a new company, but it matters when acquiring, contracting with or using an older Georgian entity: check the current registry status before relying on it.
Decisions to make before filing
- Choose LLC, JSC, branch or another form based on liability and operations—not only speed.
- Confirm founders, ultimate ownership, director, representation method and any joint-signature rule.
- Set a company name and verify it is usable and not misleading.
- Select a real Georgian legal address and obtain the owner’s required consent/evidence.
- Define activities, initial funding and whether sector licences or registrations are required.
- Prepare a bank and AML narrative explaining owners, source of funds, customers, suppliers, countries and expected flows.
Core document package
| Document area | What to prepare | Common delay |
|---|---|---|
| Founders | Identity documents or current corporate extracts; ownership and authorised signatory evidence. | Outdated extracts or unclear chain of authority. |
| Incorporation | Instrument of incorporation/statute, shares, contributions, director and representation rules. | Using a template that conflicts with the intended shareholder deal. |
| Foreign documents | Apostille/legalisation and Georgian translation where applicable. | Assuming an English document is filing-ready. |
| Legal address | Address evidence and owner consent in the required form. | Temporary address with no mail-control process. |
| Power of attorney | Scope sufficient for filing and follow-up, executed in an acceptable form. | Authority that does not cover corrections or related registrations. |
NAPR filing and registration effect
Under Article 8 of the Law on Entrepreneurs, entrepreneur registration is mandatory and entails state and tax registration. The registration authority transmits relevant data to the Revenue Service. NAPR’s current fee page lists one-working-day and same-day service options for legal entities, but acceptance still depends on compliant documents.
Obtain and verify the registry extract, identification number, registered address, director and representation rule immediately after registration. Correct errors before the company signs contracts or gives bank mandates.
Bank onboarding is separate
A registry extract does not create a right to a bank account. Georgian banks apply customer due diligence, sanctions, source-of-funds and transaction-purpose checks. Foreign-owned companies should prepare a coherent file rather than submit only corporate documents.
- Group chart and ultimate beneficial owners.
- Founder and director profiles and proof of address.
- Business plan, website, contracts or pipeline evidence.
- Expected currencies, counterparties, countries, monthly volumes and payment purposes.
- Origin of initial capital and shareholder-loan terms.
- Tax residence and substance explanation for cross-border structures.
First 30 days after registration
| Workstream | Action |
|---|---|
| Tax access | Secure Revenue Service credentials, responsible users and adviser access. |
| Accounting | Adopt chart of accounts, invoice flow, document retention, FX and expense policies. |
| VAT and payroll | Test registration/withholding obligations before the first taxable invoice or salary. |
| Contracts | Use the exact registered name, ID, signatory rule and approved governing terms. |
| Employment | Prepare Georgian-law employment documents, payroll and immigration review where needed. |
| Licences and customs | Confirm permits, product compliance, importer records and customs representation before shipment. |
| Governance calendar | Schedule shareholder approvals, annual reporting and document-renewal controls. |
Launch risks to resolve
The fastest registration is not always the fastest launch. Typical failures include a director who cannot satisfy bank KYC, an address that cannot receive official notices, a charter that omits investor protections, unrecorded shareholder loans, invoices issued before VAT analysis, and imported goods arriving before classification or permits are settled.
Frequently asked questions
Frequently asked questions
How long does registration take?
NAPR currently lists one working day for GEL 200 and same-day processing for GEL 400 for an entrepreneur other than an individual entrepreneur. Preparation, translations, corrections and bank onboarding are separate.
Does company registration include a bank account?
No. Banks conduct their own KYC, sanctions and source-of-funds review and may request extensive commercial evidence.
Can a representative file for foreign founders?
A properly authorised representative may be used, but the power of attorney, legalisation/apostille and Georgian translation requirements must be confirmed for the issuing country and filing.
